Terms of Service
1. Agreement to Terms
These Terms of Service (the “Terms”) govern access to and use of the Leapath Placement Intelligence Platform (the “Platform”), operated by Leapath Technology (“Leapath”, “we”, “us”, or “our”) at https://www.leapath.tech. By accessing the Platform, registering an account, or using any feature, you (“User”) agree to be bound by these Terms.
Where access is provided pursuant to a separately executed agreement between Leapath and an institution or recruiter (a “Master Agreement”), that Master Agreement governs in the event of conflict, and these Terms apply to the extent not inconsistent with it.
If you do not agree with these Terms, you must not use the Platform.
2. Eligibility and Categories of Users
The Platform is intended for use by:
- Institutions: recognised colleges, universities, and similar bodies, acting through authorised administrators and TPOs.
- Students: individuals enrolled with a contracting institution and authorised to access the Platform through that institution.
- Recruiters: organisations and authorised representatives engaged in lawful recruitment activities.
Users must be capable of forming a legally binding contract under applicable law. Where a User is a minor, access is provided under the supervision and authority of the contracting institution, which is responsible for any consents required.
3. Account Registration and Access Control
Access to the Platform requires a registered account. Users agree to provide accurate, current, and complete information at the time of registration and to maintain the accuracy of such information.
- Users are responsible for safeguarding their credentials and for all activity that occurs under their account.
- Sharing of credentials, use of another User’s account, or circumvention of access controls is prohibited.
- Institutions are responsible for managing the lifecycle of accounts under their tenancy, including provisioning and deactivation.
- Any suspected unauthorised access must be reported to security@leapath.tech without undue delay.
4. Acceptable Use
Users agree not to:
- Use the Platform for any unlawful, fraudulent, defamatory, or harassing purpose.
- Upload content that infringes third-party rights or contains malicious code.
- Attempt to reverse-engineer, decompile, or extract source code from the Platform, except to the extent permitted by applicable law.
- Probe, scan, or test the vulnerability of the Platform without prior written authorisation.
- Use automated means to scrape, copy, or harvest data from the Platform.
- Misrepresent identity, academic credentials, employment history, or institutional affiliation.
- Use the Platform to transmit unsolicited communications or to circumvent recruitment, assessment, or verification controls.
5. User Responsibilities
5.1 Students
- Provide accurate profile, academic, and skill information.
- Complete assessments individually and without unauthorised assistance, automation, or impersonation.
- Use information made available through the Platform solely for personal placement and learning purposes.
5.2 Institutions and TPOs
- Ensure that data shared with Leapath has been collected lawfully and that any required notices or consents have been obtained from data subjects.
- Configure access permissions appropriately and supervise authorised users.
- Use Platform outputs, including readiness scores and analytics, as decision support and not as the sole basis for adverse academic or career decisions.
5.3 Recruiters
- Use candidate information solely for legitimate recruitment purposes.
- Refrain from contacting candidates outside the channels authorised by the relevant institution.
- Comply with applicable equal-opportunity, anti-discrimination, and labour-law requirements.
6. Data Accuracy and Decision-Support Disclaimer
The Platform produces analytical outputs, including skill assessments, readiness scores, employer-match indicators, and benchmarks. These outputs are derived from data provided by Users and institutions and from algorithmic models that are subject to inherent limitations.
Leapath does not warrant that such outputs are free from error, complete, or fit for any particular decision. Users are responsible for exercising their own judgement and for verifying information before relying on it. Leapath is not a recruiter, placement agency, or academic-evaluation authority.
7. Intellectual Property
The Platform, including its software, design, text, graphics, assessment frameworks, scoring methodologies, dashboards, documentation, and trademarks, is the exclusive property of Leapath or its licensors and is protected by applicable intellectual-property laws.
Subject to these Terms and any applicable Master Agreement, Leapath grants Users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes. No other rights are granted by implication, estoppel, or otherwise.
Users retain ownership of content they lawfully submit. By submitting content, Users grant Leapath a worldwide, royalty-free licence to host, process, display, and use such content as necessary to provide the Platform and to derive aggregated, de-identified insights.
Feedback, suggestions, and ideas provided by Users may be used by Leapath without restriction or compensation.
8. Service Availability
Leapath endeavours to keep the Platform available and reliable, but does not guarantee uninterrupted, error-free, or secure access. The Platform may be unavailable from time to time due to maintenance, upgrades, technical issues, or factors beyond our reasonable control.
Unless expressly stated in a Master Agreement, no service-level commitment, uptime guarantee, or response-time guarantee is offered. Leapath reserves the right to modify, suspend, or discontinue any feature of the Platform at its discretion, with reasonable notice where practicable.
9. Disclaimers
To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or freedom from defects or harmful components.
Leapath makes no warranty regarding placement outcomes, employment offers, academic results, or any other consequence connected with use of the Platform.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Leapath, its officers, directors, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or in connection with the Platform or these Terms, whether based in contract, tort, statute, or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the aggregate liability of Leapath arising out of or relating to the Platform or these Terms, regardless of the form of action, shall not exceed the amounts actually paid to Leapath by the contracting institution or recruiter under the applicable Master Agreement during the twelve (12) months immediately preceding the event giving rise to the claim, or, where no fees have been paid, INR 10,000 (Rupees Ten Thousand only).
The limitations in this Section reflect a fair allocation of risk and form an essential basis of the bargain between the parties.
11. Indemnification
Users agree to indemnify, defend, and hold harmless Leapath and its officers, directors, employees, and affiliates from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- The User’s breach of these Terms or any applicable Master Agreement;
- The User’s violation of any law or third-party right;
- Content submitted by the User to the Platform;
- The User’s misuse of Platform outputs, including reliance on assessment scores or readiness indicators in a manner inconsistent with these Terms.
Leapath reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification, in which case the User shall cooperate in asserting available defences.
12. Suspension and Termination
Leapath may suspend or terminate access to the Platform, in whole or in part, with or without notice, where:
- A User materially breaches these Terms or an applicable Master Agreement;
- Continued access poses a security, legal, or reputational risk;
- The contracting institution’s or recruiter’s agreement has expired or terminated;
- Required by law or competent authority.
Users may discontinue use of the Platform at any time. Upon termination, the rights granted under these Terms cease, and provisions that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, shall continue in effect.
13. Confidentiality
Each party shall protect the other party’s confidential information using a degree of care no less than it uses to protect its own confidential information of a similar nature, and in any event no less than reasonable care, and shall use such information only for purposes consistent with these Terms.
14. Changes to the Terms
Leapath may revise these Terms from time to time. Material changes will be communicated through the Platform or to institutional administrators. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles. Subject to Section 16, the courts at Hyderabad, Telangana, shall have exclusive jurisdiction in respect of any matter arising out of or relating to these Terms.
16. Dispute Resolution
The parties shall first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good-faith negotiations. If a dispute is not resolved within thirty (30) days of written notice, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996.
- The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties.
- The seat and venue of arbitration shall be Hyderabad, Telangana, India.
- The proceedings shall be conducted in English.
- The arbitral award shall be final and binding.
Notwithstanding the foregoing, either party may seek interim or injunctive relief from a competent court to protect its intellectual-property rights or confidential information.
17. General Provisions
- Entire Agreement: these Terms, together with any Master Agreement and the Privacy Policy and Data Processing & Security Policy, constitute the entire agreement between the parties regarding the Platform.
- Severability: if any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
- No Waiver: failure to enforce any right or provision shall not constitute a waiver of such right or provision.
- Assignment: Users may not assign these Terms without our prior written consent. Leapath may assign these Terms in connection with a corporate transaction.
- Force Majeure: neither party shall be liable for failure to perform due to causes beyond its reasonable control.
- Notices: notices to Leapath shall be sent to legal@leapath.tech.
